Rodolfo Tella advises companies, controlling or reference shareholders, institutional investors, and financial institutions on domestic and international capital markets transactions. This includes public offerings of shares (IPOs and follow-ons), notes and debentures (including incentivized debentures), tender offers, unit programs, warrants, buyback programs, and structured transactions. His experience covers both transactions within the scope of the Brazilian Securities and Exchange Commission (CVM) and those conducted with placement efforts abroad. He provides ongoing advice to public companies and their management on corporate, regulatory, and governance matters, including shareholders’ meetings, shareholder relations, and administrative proceedings before the CVM, B3, and ANBIMA. He also advises on complex corporate transactions involving reorganizations and M&A of publicly held companies. Rodolfo has extensive experience representing Brazilian issuers before the U.S. Securities and Exchange Commission (SEC), the New York Stock Exchange (NYSE), and NASDAQ, advising on matters such as the preparation and review of Forms 20-F and 6-K, sustainability reports, disclosure policies, and regulatory compliance of foreign issuers in the United States.
