Elizabeth Felker is a corporate and transactional attorney whose practice focuses on business transactions, employee benefits, and executive and deferred compensation. As a member of the firm’s Business Transactions Practice Group, Liz draws on her experience in mergers and acquisitions, corporate formations and reorganizations, and public and private securities offerings to provide effective, pragmatic solutions to clients’ transactional and other business-related needs. She works with clients across a wide variety of industries throughout the life cycle of their business enterprises, regularly providing counsel on strategic and regulatory issues, business and succession planning, corporate governance matters, and agreements related to the ongoing operation or successful transition of the business. In her employee benefits practice, Liz counsels clients with respect to their businesses’ employer-sponsored benefits, both on day-to-day operational matters like benefit plan design, funding, and administration, as well as in the context of mergers and acquisitions and other business combinations. This includes helping clients with the implementation, compliance, and maintenance of their employee benefit programs, including qualified retirement plans, health plans, and other welfare benefit programs, non-qualified deferred compensation arrangements, and equity incentive plans for key management personnel, frequently as part of the purchase, sale, or merger of a business. Liz works with business clients of all sizes in navigating employee benefits-related compliance matters arising under the tax code, ERISA, and other federal and state regulations, as well as advising on and preparing executive employment agreements, incentive and severance plans, and other deferred compensation arrangements. Liz also has experience in the areas of health care regulation and consumer promotions. Her health care practice has included working with health care providers and facilities, health insurers, and managed care organizations on compliance issues in the ever-evolving world of health care regulation under both federal and state laws. Liz has also advised clients on privacy and security matters under HIPAA, including with respect to business associate arrangements and data breach incidents. In her consumer promotions work, Liz helps retail business clients navigate the complex legal requirements of consumer-directed promotions such as sweepstakes and other marketing-driven contests, whether conducted online or through more traditional platforms.
