Elizabeth Brien Felker is a transactional attorney with a practice focused on business transactions, employee benefits, and health care. Liz’s business transactions practice utilizes her experience in mergers and acquisitions, complex commercial relationships, corporate formations or reorganizations, and public and private securities offerings. Liz regularly works with clients from the entity formation stage through the life cycle of the business enterprise and provides counsel on strategic and regulatory issues, business and succession planning, and corporate governance matters. She serves clients across a variety of industries by advising on and negotiating agreements related to their ongoing business operations, including financing arrangements, contracts with third party goods and services providers, and agreements with executives, key employees, and independent contractors. Liz is also experienced in mergers, acquisitions, or other business combinations where one or more parties belong to a specially regulated industry or are subject to specific licensing or registration requirements. This experience positions her to successfully guide clients through transactions involving entities such as financial institutions, health care facilities, and carriers or producers of insurance products. In her employee benefits practice, Liz counsels a diverse range of clients with respect to employer-sponsored benefits, both on day-to-day operational matters like plan design, funding, and administration, as well as in the context of mergers, acquisitions, and other business combinations. Liz regularly assists employers with compliance matters arising under ERISA, HIPAA, COBRA, and the tax code, not only with respect to qualified plans, but also in connection with nonqualified benefit programs, including executive employment agreements, incentive and severance plans, and other deferred compensation arrangements. In her health care practice, Liz has worked with health care providers as well as health insurers and managed care organizations, for whom she provides guidance on compliance with federal and state legal requirements in the ever-evolving world of health care regulation. She also advises clients on a broad range of privacy and security matters under HIPAA, such as issues relating to business associate arrangements or data breach incidents. Liz also has experience with legal matters in the areas of banking regulation and consumer promotions. She works with banks, thrifts, and other financial institutions on regulatory interpretation and compliance, agency examinations, corporate governance, and conversions or other types of reorganization. Additionally, Liz helps businesses across a range of industries navigate the legal requirements of their consumer-directed promotions, such as sweepstakes and contests conducted online or through more traditional platforms.
