Bio

Eric Mandus is a Partner in the Corporate, International, Health Care and Transaction Practices of Smith, Gambrell & Russell, LLP. Mr. Mandus has a general corporate law practice in which he represents and advises a wide variety of foreign and domestic clients on matters pertaining to their businesses, which span a wide range of industries, including the health care, real estate, chemical, manufacturing, retail, distribution and service industries. He is often consulted with regard to the organization and formation of for-profit and not-for-profit entities, and the negotiation and preparation of agreements and contracts relating to their operations and businesses, including shareholder agreements, operating agreements, debt and equity financing arrangements, employment and restrictive covenant agreements, distribution and supply agreements, teaming agreements, toll and contract manufacturing agreements, license agreements involving all forms of intellectual property, and strategic alliance and joint venture agreements. Mr. Mandus has extensive experience in the representation of commercial landlords and tenants, including matters relating to the operation and management of commercial properties and the negotiation of leases involving office, retail, industrial and mixed use projects. Mr. Mandus also has an active practice in business acquisitions and divestitures where he has represented both publicly and privately held businesses, in stock, asset, and merger transactions, as both buyers and sellers, across a wide range of industries, including chemical, manufacturing, retail, distribution, construction, technology and other service based businesses. Many of these transactions involved complex pricing, earn-out, and financing structures. Originally from Merritt Island, Florida, Mr. Mandus received a B.A. in Economics from Denison University in 1982. He received a J.D., with distinction, in 1985 from Emory University, where he was elected to the Order of the Coif and received the American Jurisprudence Award for Business Associations and Constitutional Law. Mr. Mandus is admitted to practice in Georgia.
