Marc Reisler has over 30 years of experience representing clients in a wide variety of finance and mergers and acquisitions, transactions with a particular focus on renewable energy. Marc represents lenders and borrowers in solar, energy storage, wind, geothermal and renewable natural gas project financings. He also works on securitizations of residential solar and rural small wind assets. Marc frequently represents lenders providing “back leverage” credit facilities to tax-equity financed projects. His experience includes representing lenders in recapitalizations of private equity sponsored renewable projects. He has also represented investors in preferred equity financings of LEED certified real estate projects. Marc has considerable experience helping lenders navigate the complexity of renewable project finance borrowers in Chapter 11 bankruptcy, advising in negotiations with the Chapter 11 trustee, tax-equity investors, cash-equity investors, O&M service providers and other creditors. Marc regularly represents developers in connection with their renewable energy projects including advising on site control issues, construction contracts, O&M contracts, and financing. Marc has represented state agencies in financing the development of significant infrastructure projects including the financing of major high voltage DC transmission lines. Marc’s general finance practice concentrates on representing lenders in credit facilities to finance the acquisition and origination of consumer credit assets, including sub-prime auto loans, rent-to-own contracts, consumer debt restructuring loans, charged-off consumer credit card accounts, merchant advances and marketplace finance loans. Marc also has considerable experience representing lenders in financings collateralized by intellectual property assets, including music publishing catalogues, film libraries and patent portfolios. Marc represents buyers and sellers in M&A transactions, focusing mostly in the renewable energy and technology areas. Included among the numerous acquisition transactions in which he has participated are the purchase and sale of solar energy projects, waste-to-energy projects, a distributed energy resource consultant and numerous software enabled service providers and digital media companies. Having worked in-house at a large global software developer and telecommunications services provider, as a complement to his practice, Marc is frequently called on by his clients to assist in “big-ticket” technology licensing and outsourcing transactions.
