Bio

Christopher C. Roberts uses his extensive legal knowledge in an array of practice areas to help clients navigate the daily operations and growth of their companies. With more than 35 years of experience as a business attorney, he has "seen it all", and uses that wealth of experience to assist clients orchestrate new endeavors, stay compliant on policies and procedures, and mitigate concerns when they arise. Chris directs his legal focus on mergers and acquisitions, securities, employment, business planning, tax, ESOPs, intellectual property, government contracts, international matters and general corporate and commercial matters. This familiarity with a wide breath of law benefits his clients greatly, and often enables him to anticipate a potential issue before it occurs. His long-time membership in the Securities Law Committee of the Maryland State Bar Association (MSBA) Business Law Section ensures that Chris is well-informed with regard to changes in securities law. Securities transactions in which he has been involved include a wide variety of private placements and venture capital transactions (including under Regulation S and Rules 506 and 504 of Regulation D), as well as IPOs and other public offerings. He is familiar with the changes resulting from the JOBS Act, including the general solicitation permitted by Rule 506(c) for offerings sold to accredited investors, crowdfunding, and Regulation A+. He has also handled Rule 144, Rule 701 and Section 4(1½) transactions, finders issues, and provided opinions of counsel regarding the removal of restrictive legends.
