Bio

Whitney Schmidt provides her transactional clients a clear and efficient pathway to closing, while maximizing their remedies and deal protections. As co-chair of the Commercial Finance practice group and with more than 100 lending and M&A deals under her belt, Whitney relies on her persuasive negotiation skills and judgment to narrow in on the business matters that are critical to her clients. Whitney's experience spans all areas of business law with a concentration in the areas of finance, mergers and acquisitions, and general commercial matters. She represents lenders and borrowers in connection with the negotiation, structuring, and documentation of syndicated, club, and single bank financings. Such transactions include senior secured asset-based or cash-flow loan transactions involving working capital facilities or acquisition loans, mezzanine and second lien loans, and fund capital call lines of credit. Many of Whitney's corporate clients also rely on her in an "outside general counsel" role to draft and negotiate commercial contracts that support business growth. She recognizes that her clients often work with limited time, resources, and budgets. Whitney works to seamlessly fit into their teams to accomplish business goals. These types of clients range from small, startup entrepreneurial clients and middle-market companies up to Fortune 50 companies. Whitney brings a business approach to getting deals done, which is supported by her finance and accounting background. She can "talk the talk" with lender and business clients. Wherever possible, Whitney leverages Seyfarth's technology solutions to facilitate a smooth and efficient deal process.
