Bio

Jeffrey Berman is a partner in Seward & Kissel’s Corporate Finance Group. Jeff specializes in the areas of corporate finance, lending and asset securitization. Jeff regularly represents clients in connection with structuring and documenting receivable facilities and securitizations, including less traditional asset classes, such as mobile device installment contract receivables. He recently represented a financial institution in utilizing such technology with respect to installments payable related to home security systems. He has also recently advised clients in connection with supply chain finance, trade receivable, broadcast right receivable, leveraged loan, student loan, consumer loan, market place lending, and vehicle fleet financing facilities. Jeff regularly represents dealers, placement agents, underwriters and issuers in a wide variety of asset-backed, market value and synthetic securitization programs. He has been involved in structuring, establishing and documenting a number of asset-backed commercial paper programs. He has extensive experience representing dealers and other participants in commercial paper facilities. He regularly represents lenders and borrowers in corporate and commercial loans, including secured and unsecured facilities, syndicated and bilateral loans, asset based loans, acquisition finance, working capital loans, first lien and second lien and second lien loans, cross border transactions and multi-currency facilities. Jeff regularly represents both funds and financial institutions in subscription loan facilities secured by the unfunded capital commitments of the fund’s constituent partners or equity investors. Jeff also recently represented clients in connection with redemption loan facilities and secured revolving loans to 1940 Act registered mutual funds. Jeff also frequently advises investment funds and managers in connection with transactions, financings and general corporate matters. Jeff also advises clients in workouts and restructurings in connection with asset-based financing transactions and secured lending facilities. Jeff has been a frequent speaker at conferences and an author on a variety of legal topics, including recent articles relating to Subscription Loan Facilities and TALF 2.0. Jeff received a B.A. from the University of Pennsylvania and a J.D. from Cornell Law School. Jeff is a Member of the American Bar Association and the New York State Bar Association.
