Michael Duffy Bio

Michael Duffy advises clients on mergers and acquisitions and other key commercial transactions. His representations include work for clients who are selling businesses and buyers who are seeking investment opportunities, including private equity-backed ventures. Michael also assists clients with debt and equity financings, investment fund formations and private placement offerings under Regulation D. He provides legal guidance to start-up entities and venture capital funds on venture capital financing, including early-stage seed financing to later growth-phase rounds, and on general corporate matters in between. Clients also look to Michael for legal advice on issues that arise during start-up as well as in their daily operations, including negotiating and drafting organizational documents and agreements for intellectual property licensing, distribution, purchases, services and a variety of other needs. Michael represents businesses ranging in size from startups to Fortune 500 companies from a broad range of industries, including pharmaceutical distribution and research, technology, construction and real estate. His legal guidance – whether given in a single deal or on an ongoing basis as outside general counsel – reflects his understanding of the short- and long-term challenges his clients face from his own experiences as a business owner and the director of a training program for UNESCO Vietnam where he helped companies develop international business connections.
