Allain Andry corporate transactional and finance practice includes debt financing, equity investment transactions, joint ventures, mergers, acquisitions and related commercial transactions. In his corporate finance practice, Allain has significant experience representing borrowers in credit facilities, including senior syndicated facilities, first lien and second lien secured facilities, leveraged acquisition financings and subordinated debt facilities. He also has handled the equity investment and equity incentive components of such transactions. Allain regularly advises clients in acquisition and joint venture transactions. He has completed significant acquisitions and divestitures for clients in the over-the-counter health care and nutraceuticals, packaging, construction products and industrial products industries. Allain has extensive experience structuring and negotiating LLC and partnership agreements and related documents for commercial joint ventures, as well as joint ventures for real estate development. As an extension of his corporate transactional work, Allain regularly advises clients in related corporate and commercial transactions, including corporate organization and structuring; shareholders’ agreements; and significant commercial contracts, such as manufacturing agreements, product development agreements, licensing agreements, distribution agreements and employment agreements for senior executives.
