Bio

Chad Davidson practices in the areas of corporate and commercial transactions with a particular emphasis in taxation, mergers and acquisitions and commercial/public financing. His tax practice includes matters relating to corporate, partnership and individual federal and state tax as well as representing businesses, individuals and estates in IRS and state tax audits. He regularly advises clients on federal, state and local tax incentives and credits available to new and expanding companies. Chad's commercial transaction practice includes the acquisition and/or sale of on-going businesses, through asset purchase transactions, stock/membership interest purchase transactions, mergers and reorganizations. He regularly advises business clients on choice of entity, formation, matters related to start-up and initial growth, corporate restructurings and reorganizations, joint ventures and commercial/public financings, and he is responsible for drafting and negotiating the documents necessary to meet clients’ needs in these areas. Chad also provides advice to nonprofits on formation, corporate governance, tax exemption, registration with states’ charities divisions and compliance with tax exempt law. In addition, Chad's practice includes the area of public financing having served as borrower’s counsel, bond counsel and trustee’s counsel in a variety of taxable and tax-exempt transactions. His estate planning practice includes advising clients with respect to and the drafting of wills, trusts, and family limited partnerships, as well as representing estates in probate. Chad also practices in the area of real estate, where he handles the acquisition, sale and/or development of commercial and residential real estate. He represents both lessors and lessees in drafting and negotiating leases for commercial property and also analyzes and resolves real property title issues.
