Lior Baruch is a Senior Partner in the Corporate Group at Pearl Cohen’s Tel Aviv office. His practice is focused primarily on commercial and corporate law in general and specifically in the field of technology, including support of industrial, telecommunications, internet, cellular, biotechnology and data security companies, throughout their life cycle from start-up stages through established companies, and in acquisitions or public offerings. Lior has a strong technological background and his practice has had a special emphasis on negotiating and drafting agreements for complex international commercial transactions, including development, manufacturing, distribution, OEM, VAR, supply, sale, license, software bundling, revenue sharing, and other types of commercial agreements. Lior also has extensive experience in corporate finance, representing various parties in mergers, acquisitions, public offerings, funding transactions (equity or debt), creation and management of joint ventures, partnerships and consortiums, and other transactions between technological companies and purchasers or investors, including venture capital funds, private equity, governmental funding (such as the Israeli OCS) and other entities from around the world, with an emphasis on multi-national entities and inter-national transactions. Lior specializes in creating and amending variable capitalization and alternate transaction scenarios for complex or multi-layered transactions. Prior to joining Pearl Cohen, Lior was a Senior Associate at the commercial and corporate department of leading law firm in Israel.
