This comprises the assistance in structured sale processes and proprietary deals on the buy- and sell-side to acquire all or part of the shares or assets of a business, including Due Diligence. His advice on corporate law issues includes assisting corporate boards in relation to corporate housekeeping and its liability, advising shareholders in particular on shareholder disputes, and supporting dispute proceedings that arise from restructuring or transactions. The majority of his clients are from the digital business and the automotive sector. Björn studied in Cologne, Munich, and Cape Town, and during his doctoral studies worked for an international law firm in Cologne in the area of corporate/M&A. During his six years employment with a German law firm in Düsseldorf and Frankfurt am Main, he completed a one-year secondment to the corporate/M&A department of an Australian law firm in Sydney and a half-year in-house secondment in the legal department of an international industrial group in Bonn. Before joining Osborne Clarke in 2011, Björn worked in the legal department of a German DAX-listed group in the automotive industry. He is co-author of the Munich handbook for lawyers on the law of limited liability companies (Münchener Anwaltshandbuch GmbH-Recht). He also gives seminars on corporate law and M&A and is lecturer at the WHU – Otto Beisheim School of Management, a private business school for general management.
