Bio

Ed Pease brings more than two decades of experience to the representation of high-growth businesses and the venture capital, private equity, and other investors who support those companies. With extensive experience representing entrepreneurs and companies operating in a broad range of industry verticals, including technology, financial services, life sciences, digital & social media, and energy & sustainability, he is a trusted advisor throughout the life cycle of his clients, from formation to exit. Founders have come to rely on Ed’s creative and strategic legal solutions and sound business advice in connection with equity structuring, intellectual property protection, complex commercial transactions, and strategic licensing and partnership transactions. In his work for private equity funds, venture capital funds and family offices, Ed routinely lends his expertise to clients pursuing early and later-stage growth equity investments, acquisitions, dispositions and recapitalizations. This work routinely involves guiding investment firms through their own formation, structuring and fundraising projects. Ed is also deeply involved with the firm’s initiative on cross border matters, representing non-US clients in connection with their U.S. legal needs, including structuring US expansions, capital raises, M&A deals, strategic partnerships, and other projects. Over the course of his career, Ed has also provided guidance to many public company clients in connection with takeover defenses, board matters, and securities law compliance issues, having worked on a number of public offerings. He is frequently invited to speak on issues relating to the financing of high growth companies and venture capital investment transactions. Ed also advises a number of nonprofit companies and maintains an active pro bono practice. Ed was a Paul J. Liacos Scholar in law school and a Newhouse Scholar at S.I. Newhouse School of Public Communication at Syracuse University, where he earned his undergraduate degree.
