Basia Dzierzanowska Bio

Basia is a Board Member and Partner in our Halifax office whose practice includes advising public and private companies on corporate finance and securities law matters. Her experience covers all aspects of securities and business law, including public offerings, private placements, take-over bids and other types of mergers and acquisitions, preparing shareholder meeting materials and other continuous disclosure documents. The lead for MC’s ESG Working Group, Basia regularly advises companies and boards of directors on a wide range of corporate governance and ESG-related matters, including with respect to directors duties, D&O indemnification and insurance, stakeholder disputes, climate-related disclosure, sustainability reporting and compliance and other governance matters. In 2007, Basia was seconded to the Nova Scotia Securities Commission as Staff Solicitor. Basia also has significant experience in the offshore oil and gas law area. She represented the Province of Nova Scotia in negotiations with the Federal Government on the sharing of revenues derived from the production of oil and gas offshore Nova Scotia. Basia is a member of the Canadian Bar Association and the past Chair of the Nova Scotia Securities Law Subsection. She is the past Vice-President of the Board of Directors of the Legal Information Society of Nova Scotia (LISNS) and a former member of the Board of Directors of Immigrant Services Association of Nova Scotia. Basia is the past Honorary Solicitor of the Canadian Cancer Society, Nova Scotia Division. Basia also serves on the TSX Venture Exchange Local Advisory Committee (Quebec).
