Bio

Jonathan Ching focuses his practice on structured transactions involving derivatives, commodities and both digital and traditional asset classes. Drawing on his experience as in-house counsel at leading banks and investment managers, he provides practical and clear strategic advice to help clients navigate complex issues. Among other areas, Jonathan routinely structures, negotiates, documents and handles administrative aspects of physical and financial commodity transactions, including inventory financing and monetization, intermediation arrangements, secured finance and lien-based structures and master agreements for the energy markets. Over the course of his career, Jonathan has worked with clients whose products span the gamut of natural resources and commodities, including crude oil and refined products, base and precious metals, agricultural products, natural gas liquids and renewables. He also advises market participants on the regulatory challenges arising from cryptocurrencies and trading, clearing and settlement solutions using distributed ledger technology. He has advised leading financial institutions in relation to platforms for cross-currency payments, overnight repo and derivatives on digital assets. He has significant experience advising clients on regulatory matters in connection with mortgage and other asset-backed securitizations, particularly in relation to U.S. credit risk retention and Volcker Rule issues. His transactional and regulatory experience includes all derivatives-related aspects of the Dodd-Frank Act (Title VII). He also has negotiated a wide range of trading agreements, including International Swaps and Derivatives Association (ISDA) master agreements, repurchase and securities lending agreements and prime brokerage documentation. A regular speaker and commentator, Jonathan is a frequent panelist at industry conferences, has been quoted in the Wall Street Journal and Financial Times, and co-hosted a podcast on cryptocurrency law and regulation. Earlier in his career, Jonathan was vice president and assistant general counsel at JP Morgan in New York, vice president of Bear Stearns and vice president of the hedge fund, D. E. Shaw & Co., LP.
