Matthew Shiels is an executive compensation and benefits Partner of MCLLP. Prior to joining MCLLP, he was a partner in the executive compensation and benefits practice group of Kirkland & Ellis LLP in New York. Mr. Shiels regularly advises private equity sponsors and portfolio companies in connection with executive compensation, employee benefits and labor matters in complex corporate transactions, including mergers and acquisitions and other business transactions. That experience includes structuring and implementing deferred compensation, equity compensation, bonus compensation and incentive compensation plans and agreements as well as drafting transactional documentation, including employment, consulting, termination, change-in-control, severance and release agreements, as well as identifying issues arising under, and assisting in complying with, the Internal Revenue Code (including Sections 280G and 409A), federal securities laws, applicable exchange regulations and related corporate governance rules. Mr. Shiels also advises senior executives in connection with all types of executive arrangements, including employment, separation and operating agreements and equity and cash incentive arrangements.
