Andrea Messuti Bio

Andrea regularly advises national and international clients active in technological industrial sectors with particular focus on new media, internet, software, e-commerce, IT and AI services, Med-tech and life science. Andrea has broad experience in national and cross-border M&A, investment and extraordinary financial transactions (either capital or debt). He assists listed and non-listed companies with respect to company law, corporate governance and regulatory matters with particular focus on banking and financial activities. Andrea represents well-known venture capital and private equity funds in the high-tech and life science markets both in the fund formation phase and investment transactions at every stage of the company life. In the capital market area Andrea has consolidated experience in assisting issuers or investment banks in IPO transactions (both on regulated markets and MTF platforms), capital increases and takeover bids. In this field Andrea is one of the few Italian lawyers to have an Italian company in the Nasdaq listing process and has a significant track record in IPO transactions on the MTF system called Euronext Growth Milan (organized and managed by Borsa Italiana S.p.A.) He regularly assists listed companies in the drafting and implementation of corporate governance policies and in their interlocutions with market regulators (CONSOB and Borsa Italiana). Andrea joined the Law Firm in 2005. He spent various years in the US working in the Boston and New York offices of Sullivan & Worcester LLP. Before joining LCA, Andrea worked for a primary Italian law firm.
