Perry Kliot has a diverse commercial practice, with specific expertise in mergers and acquisitions, licensing and distribution, venture capital and traditional debt financing. He also has extensive experience dealing with start-up companies and has counselled such companies through their various stages of development. In so doing he has drafted numerous complex shareholder and joint venture agreements, and been involved in many international expansions. Perry’s clientele is broad based, ranging from large institutional clients involved in both equity and debt financing to private enterprises in the biotechnology, information technology, energy, shipping, meat processing and manufacturing sectors. Mergers and acquisitions: He has handled numerous asset and share purchase transactions in Quebec, Ontario and the U.S. for private companies, which included drafting letters of intent, purchase agreements and confidentiality and non-competition agreements. Licensing and distribution: He has worked on numerous licensing and distribution agreements for companies in many sectors, including manufacturing and technology. Venture capital: He has handled numerous debt and equity financings, including seed, first, second and mezzanine rounds in Quebec, Ontario and the U.S. for most major venture capital firms, which included due diligence reviews, drafting and negotiating subscriptions, shareholder and registration rights agreements, and implementing convertible debt, convertible preferred share and exchangeable share structures. Traditional debt financing: He has acted as agent for numerous Ontario and U.S. law firms regarding taking of security on assets in Quebec and is familiar with Article 2692 of the Civil Code and the private international law rules relating thereto, and has drafted the security documents and opinions which such firms require. He has also represented numerous borrowers in all industry sectors. International expansion: He has been actively involved in his clients’ international expansion and in this regard has participated in the incorporation and implantation of their foreign subsidiaries and drafted joint venture agreements with local partners.
