Jordan Rosenbaum regularly counsels public companies on initial public offerings (IPOs), capital markets offerings, mergers, acquisitions, going-private transactions, spinoffs and general corporate and securities law matters. He also advises companies and boards of directors on corporate governance and regulatory matters. Jordan has advised companies with complex IPOs, including those using the UP-C and other partnership structures, Rule 144A offerings, and follow-on and at-the-market equity offerings. Jordan has extensive experience representing private companies, private equity funds and their portfolio companies, hedge funds, alternative asset managers and family offices in a varied range of transactions, including mergers, acquisitions, divestitures, financings and capital-raising activities, cross-border transactions, joint ventures and strategic alliances, as well as corporate reorganizations. Jordan provides legal and transactional advice to clients in a diverse group of industries and sectors. He has particular experience representing energy, real estate, industrial and technology companies, including an independent oil refiner and its related publicly traded master limited partnership, public and private real estate investment trusts (REITs) and other real estate joint ventures and investment firms, and software companies.
