Charlie Katz is Managing Partner of King & Spalding’s Northern Virginia office. He is a partner in King & Spalding’s Corporate, Finance and Investments practice, advising emerging growth and technology companies. On transactional work, Mr. Katz offers deep knowledge on mergers and acquisitions, private equity and venture capital transactions, divestitures, recapitalizations and restructurings, debt and equity financings and securities offerings, leveraged and management buyouts, joint ventures, and strategic investments. In these transactions, Mr. Katz has represented the full range of parties, including bidders, targets, private equity groups, management teams, public companies, private companies, private investors, investment banks and financing sources. He has been involved in all phases of these transactions, including initial planning, structuring, negotiation, implementation and advice. Mr. Katz has worked on transactions across a variety of industries, including among others technology, government contracts, education, manufacturing, communications, and other regulated businesses. He has experience in both domestic and international transactions, including the representation of parties in cross-border transactions and with multinational investors. Clients look to Mr. Katz on a broad range of corporate and securities and business-related matters, including directors' duties and responsibilities and other aspects of corporate governance and disclosure issues. He also has experience with transactions, financings, and corporate governance issues in financially distressed and bankruptcy situations. He has been recognized by Best Lawyers (2013–2020) for Corporate Law, as well as Legal 500 US (2013–2015) for Venture Capital and Emerging Companies.
