Bio

Paul Woodall has extensive experience in a variety of areas of business and transactional practice, including mergers and acquisitions, choice of entity, economic development incentives, product distribution, real estate, commercial lending, intellectual property, and cybersecurity. Paul routinely handles the preparation and negotiation of real estate purchase and sale agreements, commercial leases (for landlords and tenants), commercial real estate closings, opinion letters, and structuring economic development incentives. Paul has assisted a number of manufacturers in all phases of taking their products to market, including establishing distribution systems, handling dealer terminations, and developing product warranties. He also routinely prepares and negotiates agreements in connection with distributorships, inventory consignments, warehousing, supply arrangements, sales agency arrangements, franchising, and toll manufacturing. In addition, Paul has extensive experience in the many possible uses of limited liability companies and has spoken at a number of seminars on the topic of limited liability companies. He has prepared and negotiated a wide variety of operating agreements with respect to multiple-member limited liability companies. Finally, Paul regularly assists clients with trademark protection, including trademark applications, trademark licensing, as well as prosecuting and defending trademark oppositions.
