John Gant is a partner in the Corporate Practice Group. He focuses on mergers and acquisitions, corporate, and tax law. John represents acquiring and target companies and their owners in planning, structuring, and executing business transactions. This includes asset and stock acquisitions, mergers, venture capital investments, and joint ventures. He advises clients with initial legal planning and analysis, developing appropriate structures, negotiating letters of intent, conducting due diligence, negotiating definitive agreements, documenting and closing transactions, and providing legal direction in post-closing matters. John has handled transactions and clients that encompass a wide range of industries, including industrial and construction product distribution, manufacturing, mining, telecommunications, construction, timber products, healthcare, textiles, and banking. In addition to his M&A practice, John has significant experience in tax law, and provides tax planning advice for a broad range of businesses and individuals. He also offers trust and estate planning advice to individuals, particularly those owning family or other privately-owned businesses, and trust and estate administration advice to fiduciaries and beneficiaries. John’s clients include closely held corporations, limited liability companies, limited and general partnerships, Subchapter S corporations, and private foundations. He also represents clients in connection with audits and other controversies with the Internal Revenue Service and state taxing authorities.
