Alexandra Clark Layfield is a partner in the Corporate Practice Group and co-leads the firm’s corporate, securities, and executive compensation team. She counsels public and private companies on a variety of transactional matters, primarily in the areas of corporate finance, securities law, general corporate law, and corporate governance as well as mergers and acquisitions. Alex has been an integral member of the team advising issuers in public and private debt and equity offerings that have raised more than $20 billion and more than $7 billion worth of mergers and acquisitions for public and private companies. Alex advises public and private companies on a day-to-day basis. She serves as board counsel and lead outside securities counsel to a variety of public companies, including a Fortune® 500 company. She regularly counsels companies on corporate governance matters, fiduciary duties, shareholder engagement, shareholder activism defense, and compliance with the disclosure and other requirements of the SEC, NYSE, NASDAQ, and other exchanges. Alex coordinates periodic reviews of and compliance with internal corporate governance policies, and handles corporate formation and restructuring, reorganization, and conversion matters, including compliance with state corporate laws. Alex also regularly advises clients on their disclosure and processes relating to environmental, social, and governance (ESG) matters. She has also assisted in advising financially distressed businesses on how to navigate restructurings and other related transactions.
