Xuan Zhou graduated from Zhongnan University of Economics & Law with the Bachelor of Economics. She then obtained Master Degree in International Law and Master Degree in Comparative Law from University of International Business & Economics and Chicago-Kent College of Law respectively. Ms. Zhou worked as the in-house counselor of Shenzhen Urban Construction Group from 1992 to 1998, and acted as a stringer and guest host of Legal Column of Guangdong TV. She worded as a lawyer in Guangdong Guoxin Law Firm form 1999 to 2004, and became a partner of China Commercial Law Firm in 2004. In 2007, Ms Zhou joined JINGTIAN & GONGCHENG as a partner. Ms. Zhou specializes in M & A, stock issuing and capital market as well as legal advisor for administrative departments and large-scale enterprises. Her services cover a wide range, including due diligence investigation, the design of business structure and relevant negotiations, etc. In the area of capital market, Ms Zhou has represented tens of companies in their share listing or refinancing projects, including Guangzhou GRG Banking Co., Ltd, Shenzhen Zhongjing Lingnan Nonfemet Company Co., Guangshen Railway Co. Ltd, Shenzhen Jinjia Group Co., Ltd., Shenzhen Top band CO., LTD, Fudakin Ltd, Contel Ltd, Success Value Holing, etc. Ms. Zhou has handled many M & A cases, including Shenzhen Zhongjin Lingnan Nonfemet Company Ltd’s acquisitions of Perilya Limited in Australia and Ballinalack Resource Limited in Ireland.Ms. Zhou is also a legal counsel of several large-scale enterprises and governmental departments, including Shum Yip Holdings Company Limited, Shenzhen Shenfubao (Group) Company Limited, a certain ophthalmic hospital, Qingdao Asahi Beer Company Limited, Shenzhen Free Trade Zone Government, and Shenzhen Ping Shan New District Government, etc. Ms. Zhou qualifies as Chinese Professional Lawyer, economist and independent director. She is a member of Chartered Institute of Arbitrators. She also acts as the director of Guangdong Lawyers Association, vice President of Securities Professional Commission of Guangdong Lawyers Association, part-time professor invited specially of Law Faculty of Shenzhen University, as well as stringer and guest host of Legal System Column of Guangdong TV. Ms. Zhou won the title of “Shenzhen Futian Excellent Lawyer” in 2008 and 2009 consecutively.
