Working alongside US and international clients, he structures, negotiates, and guides mergers, acquisitions, joint ventures, and public and private securities transactions, ranging from small and medium-size deals to multi-billion dollar deals. Don's advice and insight help companies and boards maintain compliance with securities regulations, fiduciary duties, and corporate governance rules and best practices. Among his largest and most complex corporate transactions, Don represented Takeda Pharmaceutical Company in a multibillion-dollar split-off transaction involving TAP Pharmaceutical Products. He also represented General Motors in the $5.6 billion sale of its Allison Transmission division to the Carlyle Group and Onex Corporation. Don counseled General Motors in selling its assets to a newly formed entity sponsored by the US Treasury in connection with a 363 transaction. Don has advised several of the country’s largest companies on a range of transactional and securities matters, including General Motors, General Dynamics, and Hertz. Known for his commitment to collaboration and teamwork, he led the legal team on a $17.9 billion global offering of debt securities for General Motors, the then-largest debt offering by a non-governmental issuer. Don draws on extensive experience representing Japanese, South Korean, European, UK, and other international clients in cross-border M&A and other transactions. He serves as a Co-Chair of the firm’s Japan and Cross-Border Transactions Practices.
