Adam Calisoff Bio

Adam Calisoff is a partner in Ice Miller's Chicago office. His practice involves regularly representing private equity firms and privately-held business in mergers, acquisitions and divestitures. Adam has counseled buyers and sellers in well over 100 middle-market transactions across a broad spectrum of industries, including automotive, manufacturing, distribution, food and beverage, information technology and health care. Adam also serves as outside general counsel for a large number of portfolio companies of private equity clients as well as privately held businesses working closely with senior management to effectively address a broad range of legal issues facing businesses. Adam counsels clients in their day-to-day legal needs, including contract negotiation, strategic planning and add-on acquisitions. Adam structures, negotiates and documents a wide variety of commercial agreements and problem solves for clients. Adam has counseled franchisors in the establishment and the day-to-day operation of franchise systems, as well as periodic disclosure requirements.
