Margaret McIntyre counsels executives and public and private clients across a wide array of industries about their unique needs in executive compensation and employee benefits and in understanding the complicated intersection of related tax, employment, securities, and corporate law issues. Meg identifies and addresses executive compensation and employee benefits issues in mergers and acquisitions, spin-offs, initial public offerings, and other corporate transactions, including negotiating definitive agreements, preparing disclosures, addressing golden parachute tax issues, and advising on post-transaction integration matters. She regularly helps her clients in the design, drafting, negotiation, and administration of a broad array of compensation-related agreements, plans, and programs. In particular, she advises on equity-based and cash-based incentive plans and agreements and on executive employment, change in control, deferred compensation, and severance plans and agreements.
