Erica Lawson is a partner at Hinman, Howard & Kattell and is the Chair of Hinman, Howard & Kattell’s Business and Corporate Law Practice Group. Erica concentrates her practice in advising business and corporate clients on all aspects of their operations. Erica has handled formation and organization of business entities including LLCs, LLPs, corporations, professional corporations (P.C.), and not-for-profit corporations. She is part of the HH&K mergers and acquisitions team, and she regularly engages in negotiation and drafting of transaction documents for various complex business transactions. Erica is also well versed in business succession planning and regularly assists clients with their day to day operations, including compliance with corporate formalities and drafting and reviewing of contracts. Erica corporate practice also includes financing matters, and she has assisted numerous clients with applications for financing and tax reductions from industrial development agencies. In addition to her corporate practice, as a member of the HH&K Construction Law Practice Group, she also counsels and assists both contractors and owners with the preparation, negotiation and implementation of construction contracts. Erica has experience in all matters related to intellectual property. She combines her business law experience with her intellectual property knowledge to counsel clients in a variety of intellectual property matters, including patent and trademark prosecution and enforcement, evaluation of intellectual property portfolios and intellectual property licensing agreements. Prior to joining HH&K, Erica was an attorney at a law firm in Washington, D.C. where she concentrated her practice in intellectual property and patent prosecution. Most recently, she has undertaken the negotiation and drafting of software licensing agreements for a variety of businesses. A native of Binghamton and graduate of Chenango Forks High School, Erica is active in the business community including participating in the Greater Binghamton Chamber of Commerce and teaching for its Junior Achievement program. She is also committed to her community and participates in a number of community organizations. Her past and present community activities include holding the office of Vice-Chair of the Board of Directors of Planned Parenthood of South Central New York; being a member of the Board of Governors of the Binghamton Club; being a member of the Signature Committee of the Faith in Action Volunteers for the Broome County Council of Churches; being a member of the Board of Directors of Broome County Habitat for Humanity, and participating as active volunteer for and member of the Balloon Committee of the Spiedie Fest and Balloon Rally.
