Jacob Gunst has many years of experience and expertise assisting Danish and foreign clients on corporate law matters, shareholder issues, restructuring and investment in other companies. Jacob is equally experienced in every aspect of private equity and venture capital work and has advised clients on issues ranging from the formation of PE funds to investment in and exiting from portfolio companies, including within the field of life sciences and the digital business sector. In this context, Jacob provides advice to our clients on for instance investment agreements and shareholders' agreement, share class structures, the use of various share instruments and the setting up of share-based incentive schemes. Jacob also assists clients in the organisation and completion of M&A transactions and advises when it comes to selecting transaction structure and negotiating transfer agreements. He equally advises on an extensive range of issues regarding W&I insurance or other hedging of risks as well as on the handling of separation and transition agreements covering the period after the acquisition/sale. Jacob's expertise also encompasses providing, on a regular basis, advice to companies on a wide range of commercial contracts and cooperation issues, for instance the establishment of joint ventures in Denmark and abroad, and he has assisted several chains in ownership and contractual matters.
