Andrew Bulgin is a Member of the firm’s Securities Law, Business Law and Financial Services groups. His practice is split between corporate and securities matters and regulatory compliance. Andy represents a wide variety of businesses, entrepreneurs and investors with a particular focus on financial institutions and other regulated entities. In addition to many of the federal- and state-chartered banks and credit unions that do business in Maryland, Andy has counseled a multistate health insurance company, a specialty pizza manufacturer, a publicly traded cupcake bakery, a provider of international payment processing services, an online education company, an international software reseller, a service provider to municipal red light and speed camera programs, a clothing distributor, a pain-management device manufacturer, multistate insurance agencies in all lines of authority, and a coal export terminal. In his Business Law practice, Andy advises companies with respect to capital raising efforts; represents buyers and sellers in strategic transactions (asset purchases, stock purchase transactions and mergers); assists publicly traded companies with their reporting and other obligations under federal and state securities laws; helps entrepreneurs establish and operate Maryland corporations, limited liability companies and other entities; drafts equity and other compensation plans; and advises companies with respect to investigations conducted by federal and state regulators. Many of Andy’s clients consider him to be their outside general counsel, as he regularly counsels executive management and boards of directors regarding their duties under Maryland corporation law and a wide array of day-to-day issues, including employment matters, executive separations, contract negotiation, the protection of business assets and general operations contracts. Andy’s Financial Services practice, which frequently dovetails with his Business Law practice, focuses primarily on helping insured depository institutions comply with the myriad federal and state laws and regulations that govern their operations. These matters include the formation of bank holding companies; investments in operating subsidiaries and other affiliates; mergers of banks and credit unions; branch expansion, closures and sales; charter conversions; securities and insurance networking agreements; loan sales and participations; the exercise of trust powers; and investigations and proceedings by federal and state regulatory authorities and the appeal of examination findings. In addition, Andy has significant experience in the insurance arena, including multistate agent licensing and the purchase and sale of agencies.
