Dariusz Tokarczuk, attorney-at-law, partner heading the M&A, corporate law, tax, competition and commercial contracts, capital markets practices at Gide Warsaw. He has a proven track record of advising in the most complex M&A transactions on the Polish market. He represents leading Polish and foreign investors during complex mergers and acquisition projects, financial operations and investment processes in Poland, as well as in cross-border multijurisdictional transactions. He has extensive corporate experience in various industry sectors, with special focus on mining and heavy industries. Being recommended as one of the first-choice lawyers in Poland by some of the leading private equity investors, Dariusz runs and supervises private equity and LBO transactions. He provides comprehensive legal and business advice at every stage of the investment process, from planning the optimal structure, through the due diligence process, assessing the risks, participating at negotiations to ensuring the transaction closes smoothly. His experience in the area of corporate law includes the establishment, registration and liquidation of companies, the planning and implementation of restructuring projects of capital groups, offering advice on financing the activities of companies, including the use of equity capital, as well as issues concerning the liability of members of company governing bodies. He also supervises a team that advises on the tax aspects of mergers and acquisitions, restructuring, real estate trading, transfer of industrial property and new technologies. Dariusz applies his expertise to all aspects of competition law and commercial contracts, including distribution systems, with regard to both Polish and EU law. He also advises on concentration control and state aid-related issues. A graduate of the Faculty of Law of the University of Wrocław and postgraduate studies in management at the Institut d'études politiques de Paris, Sciences Po, Ecole des Ponts ParisTech, MINES ParisTech and Collège des Ingénieurs in Paris.
