Caroline Lan, a partner in Gide's M&A team, is a member of the Paris and New York bars and specializes in M&A, private equity and capital markets transactions. With a strong tax background, Caroline then developed her expertise by spending 8 years with a firm specializing in executive advisory services, followed by 4 years with a US firm specializing in private equity, before returning to Gide. Today, she co-leads with partner Jean-François Louit a dedicated and recognized team that advises clients, managers and founders of companies, in various transactions (corporate reorganizations, LBOs, IPOs, public and private mergers and acquisitions) and shareholder contexts, such as family-owned groups, groups owned by private equity funds, listed and unlisted companies, in particular with respect to issues related to access to capital, management incentive mechanisms and governance. She has recently been involved in major transactions, such as the opening of the capital of the Egis group, the spin-off of the Wella group, the renewal of the long-term partnership between the historical investors of DomusVi, or the sale of Cérélia to Ardian by IK Investment Partners. She also advised the Primonial group and its management in the context of Altarea's acquisition of 60% of Primonial's share capital and several build-up transactions, as well as listed and family-owned groups for the implementation of various investment or management incentive structures, such as Talend SA or the biotech Inventiva.
