Brian Dibenedetto practices general corporate transactional law, focusing on merging, acquiring and disposing of business interests, and drafting and negotiating a wide variety of contracts, including sales, manufacturing, distribution, service, supply, product development and marketing, licensing, confidentiality, noncompetition, consignment, employment and independent contractor agreements. Mr. DiBenedetto also has significant experience advising clients with respect to the formation, structuring and governance of business entities. Mr. DiBenedetto’s practice is international. He serves as both a member of the Gibbons P.C. Cross Border Transactions Group, which advises international clients on U.S. inbound transactions and domestic clients on outbound international transactions, and the Gibbons German Practice, which provides both transactional and litigation services for German clients. He also serves as Secretary and outside general counsel for numerous U.S. subsidiaries of foreign parent companies, and is a trusted advisor to both U.S. and international boards of directors and executive officers. Mr. DiBenedetto advises clients with respect to U.S. securities law reporting requirements and the preparation of federal and state securities law filings. He also represents institutional lenders, banks, companies and governmental authorities in a broad array of financing transactions, and has experience representing clients in connection with real estate fund formation and capital raising, private placements and venture capital transactions. Mr. DiBenedetto is a member of the Gibbons P.C. Pro Bono Committee.
