Bio

Krzysztof Marczuk has extensive experience in securities transactions in the capital market (ECM, DCM, M&A), particularly in conducting public and private offerings, as well as general advice on commercial law, including corporate governance. He advises public companies, selling shareholders, investors, investment companies and investment banks in various types of capital market transactions, including regulatory aspects. Krzysztof is a lawyer with many years of transaction and regulatory experience. He joined GESSEL in 2007 and has been a partner since 2016. He specializes in raising financing through equity issues in primary and secondary public offerings as well as private placements. He also advises on public and private bond offerings. He provides day-to-day corporate law services to publicly listed companies in all aspects of commercial law, including commercial contracts, as well as in all capital operations (buy-back, share redemptions, splits, share mergers) and in transformation processes, mergers, demergers and reorganizations within capital groups. He specializes in proceedings before the Polish Financial Supervision Authority, the Warsaw Stock Exchange, and the National Securities Depository, including administrative and criminal proceedings concerning the Market Abuse Regulation (MAR). He advises shareholders and investors on transactions involving divestment or acquisition of significant stakes in public companies (public tender offers, accelerated book building, squeeze outs, delisting). On an ongoing basis, advises public companies on managing their information policy and in fulfilling their disclosure obligations under MAR. He advises investment companies and investment banks on capital market transactions, including regulatory aspects related to public supervision over the activities of financial institutions.
