David Faust's practice includes the general representation of individuals and public and private corporations on all aspects of commercial, corporate, real estate, trusts, estates and tax law. In addition, Mr. Faust advises clients on cross-border corporate issues, tax matters, estate planning and trusts. Mr. Faust has been responsible for the legal work in more than 800 limited partnership syndications, primarily of real estate partnerships but also of oil and gas exploration partnerships and commodity investment partnerships. His responsibilities have included mergers, acquisitions, leveraged buy-outs, tender offers, bank loans (for both banks and borrowers), tax-exempt and conventional financings, public offerings and private placements, "going private" transactions, real estate acquisitions, financings, joint venture developments and sales, trusts, tax planning and other tax advice and the settlement of various administrative proceedings. Mr. Faust's practice includes representation of United States and non-United States clients involved in international business and personal matters in the United States and elsewhere throughout the world. This includes both corporate and financial matters, preparing wills which create trusts as well as preparing various intervivos trusts for client with assets and/or family in more than one country. The purposes of such trusts have included asset protection, charitable giving, providing for business continuity, providing for heirs with special needs and general estate planning. He has also been involved in probating, challenging and defending such wills and trusts in various United States and non-United States courts. Mr. Faust has acted as a consultant to the Israeli tax authorities on trust taxation. He has been a lecturer/panelist on numerous programs dealing with international trust matters. He has participated in numerous such programs in Israel, most recently in June 2019 for STEP – Israel and at a joint program of the New York State and Tel Aviv Bar Associations (speaking and presenting papers), and has lectured and participated in various seminars at the Buchmann Faculty of Law at Tel Aviv University and before the Tel Aviv Bar Association and in other forums in the United States and internationally on trust law and other legal topics. Mr. Faust has authored numerous notes and articles, including a chapter in Trusts in Prime Jurisdictions, 2nd Ed., published by Globe Law and Business, and two chapters in the 3rd, 4th and 5th Editions of that book, the last addition being published in the summer of 2016. Topics included are asset protection trusts, the nature of the fiduciary responsibilities of trustees and jurisdictional issues. Mr. Faust has been qualified as an expert witness in international trusts by the Supreme Court, Westchester County in a case involving an international asset protection trust. He is a member of the International Law Section and the Trusts and Estate Sections of the New York State Bar Association and the Society of Trust and Estate Practitioners (STEP).
