Drew Goodwin is the chair of Farella's Business Transactions group. Drew primarily advises business owners, boards of directors, executive teams and investors on mergers and acquisitions, equity and debt financings, capital markets and general corporate and securities matters. He also serves as primary outside counsel to many clients, advising on corporate governance issues and major contract negotiations. Drew acts as U.S. and California-based “local” counsel for overseas clients in cross-border mergers and acquisitions. He partners with law firms across the globe on complex multi-national transactions, mostly involving buyers, sellers and/or target companies located in California. Drew’s value for his international colleagues is his deep understanding of the U.S. M&A market and his experience completing California-based deals. As co-chair of Farella’s Renewable Industry Initiative and a member of the firm’s Energy + Infrastructure Industry group, Drew advises clients through the process of acquiring, developing, and selling renewable energy projects. He has considerable experience with negotiating mergers and acquisitions in the renewable energy industry, including both buy-side and sell-side, drafting development services agreements, and serving as go-to outside counsel for multiple solar energy developers. Beyond his experience and legal acumen, Drew brings particular value to any business deal by connecting with people quickly and deeply.
