Bio

Adam Eilenberg has practiced law since 1980, concentrating in securities, mergers and acquisitions and general corporate law. Mr. Eilenberg represents growth companies and domestic and foreign investors involved in public financing and private placement transactions, including PIPE transactions and venture capital investments. Many of his securities clients are software, biotechnology and medical technology companies, and Eilenberg has significant experience in licensing technology and intellectual property. Eilenberg often acts as an advisor and counselor to senior executives and boards, and is experienced in corporate governance and Securities Exchange Act compliance work. In his mergers and acquisitions practice, Eilenberg has represented sellers and buyers in stock purchase, asset purchase and merger transactions and related financings. Mr. Eilenberg also represents numerous start-up and privately-held businesses, and frequently works with entrepreneurs on structuring their corporate enterprises and in obtaining financing. Adam Eilenberg studied at the London School of Economics and received his B.A. degree, summa cum laude, in 1977 from Hamilton College. He received his J.D. degree, cum laude, in 1980 from Harvard Law School, where he was an Articles Editor of the Law Review. Mr. Eilenberg served as a judicial clerk for the Honorable Irving Kaufman of the United States Court of Appeals for the Second Circuit, worked for five years at Kramer, Levin and started his own firm in 1994.
