Having facilitated countless complex mergers, acquisitions, divestitures and financing transactions, Thomas Cleary realizes that his clients appreciate how well his counsel assists to protect, leverage and monetize the value that these clients have created. When entrepreneurs and business owners are ready to make consequential decisions involving their businesses, Tom delivers the seasoned guidance needed to help them achieve their goals. In addition to his extensive M&A experience, Tom represents clients in a wide range of industries in public and private offerings of equity and debt securities. Tom has represented a number of well-known buyout, venture capital and other private equity financing sources, including independent sponsors. Tom also has experience with transactions involving Article 9 and foreclosure sales, and cross border transactions, and has as an additional specialty extensive experience involving the purchase and sale of family and founder owned businesses. Tom has acted as outside corporate and securities counsel to various public and private issuers, including an array of high technology, aerospace and defense, e-commerce, software, healthcare, grocery store, food service, retail and distribution and consumer products companies, specialty manufacturers, veterinary service organizations, toy manufacturers, and clothing retailers. From 2005 to 2013, Tom served as a director and the secretary of the Los Angeles Chapter of the Association for Corporate Growth. Tom's clients benefit from his knowledge regarding how important the transactions that they entrust to him can be.
