Jody Kerwin focuses his practice on corporate law, mergers, acquisitions and divestitures, private securities issuances, loan arrangements and related transactions in the context of a broad range of industries including energy, technology, life sciences, and others. Jody assists small and large companies, private equity and venture capital firms, entrepreneurs, investors and other clients in connection with transactional matters. Jody advises privately and publicly held companies in negotiating and consummating mergers and stock and asset purchase and sale transactions, the subject matter of which ranges in scope from discrete business units to large integrated industrial plant facilities located in multiple jurisdictions. Jody also assists clients in negotiating credit facilities with banks and other lenders for acquisition and operational financing. In addition, Jody’s private equity and venture capital experience includes fund formation and majority and minority investments by funds and other investors in Series A and other financings. Jody also provides day-to-day general counsel support to clients, advising them regarding entity selection and formation, negotiation of nondisclosure agreements, master services agreements, licensing agreements and other operational agreements, employee incentive plans, employment agreements, and real property conveyances and leases.
