Glenn T. Dodd is a managing partner of Dodd Mason George LLP. His practice includes representation of individuals, publicly and privately held companies and financial institutions, and their respective directors and officers, in business transactions and regulatory matters including (i) mergers and acquisitions; (ii) public and private equity and debt financing; (iii) employment agreements and compensation plans including stock options and warrants, incentive bonus, salary deferral, continuation and supplemental benefits arrangements; (iv) lending; (v) organization and governance of public and private business entities including corporations, limited liability companies, partnerships, joint ventures and subsidiaries; (vi) securities registration, qualification and issuance requirements under the Securities Act of 1933 and periodic reporting and proxy solicitation requirements under the Securities Exchange Act of 1934; (vii) rules and regulations of the government agencies such as the Securities and Exchange Commission, the California Department of Business Oversight and its Division of Corporations and Division of Financial Institutions, the Board of Governors of the Federal Reserve System, the Federal Deposit Insurance Corporation and the Office of the Comptroller of the Currency; and (vii) director and officer liability. Glenn was formerly a partner in the San Jose office of Coudert Brothers LLP (1997-2002), managing partner of the San Jose office of Bronson, Bronson & McKinnon LLP (1992-1997) and a partner (shareholder) in the San Jose office of Rosenblum, Parish & Bacigalupi Professional Corporation (1987-1992). From 1978 to 1987, Glenn held various positions, including Senior Vice President, General Counsel and Secretary and member of the executive management of a publicly held holding company, Cobanco, Inc., and its subsidiaries, including County Bank and Trust, Santa Cruz, California.
