Bio

Mark Salach corporate practice involves corporate, partnership and limited liability company formation and structuring, as well as the preparation of the requisite governance documents. In addition, Mr. Salach counsels clients on mergers and acquisitions, reorganizations, asset purchase and sale transactions, and stock purchase and sale transactions. He prepares and negotiates financing agreements, employment agreements, and equity ownership transition agreements. He has extensive experience representing a variety of clients in private equity transactions including private securities offerings. Mr. Salach’s corporate practice also involves the representation of automotive dealerships in acquisition, sale, and financing transactions. These areas call upon his extensive experience in the laws and regulations governing the operation of automotive dealerships, including state franchise laws. Mr. Salach’s real estate practice involves counseling clients in a wide range of matters, including commercial property acquisitions and dispositions, 1031 like-kind exchanges, and real estate financing transactions. In addition, he counsels clients concerning various real estate development projects, including the development of retail shopping centers. Mr. Salach also has experience representing landlords and tenants and has drafted and negotiated commercial leases for office and retail space. He also counsels clients in all aspects of federal, state and local taxation and formulates the tax structure of mergers, acquisitions, dispositions, and the restructuring of debt and equity interests in a variety of industries. Mr. Salach also has extensive experience in the preparation of corporate, partnership, fiduciary and individual tax returns. Mr. Salach earned his J.D. cum laude from the University of Michigan Law School in 2000. He received a B.S. in accounting from Oakland University in 1997.
