Robert F. Ripley (“Bob”) practices in the firm’s Corporate & Securities Group. His practice focuses on mergers and acquisitions, working closely with his clients, and their advisors, to understand their objectives and to explain the process and associated risks. More specifically, Bob negotiates deal terms (LOI and post-LOI stages), drafts and/or reviews/revises transaction documents, oversees the due diligence process, and manages the closing process. He believes that his most important role is ensuring that his clients make informed decisions. Bob also assists clients with their day-to-day issues, such as negotiating and drafting agreements with partners, customers, vendors, employees, investors, landlords, and lenders. Bob earned his J.D. from Tulane University Law School and his LL.M., in Taxation, from New York University. Before attending law school, he earned his M.B.A. from Drexel University and worked for two Fortune 500 companies. This business experience provided him a perspective not shared by many attorneys, and one that clients find helpful when discussing their problems and ways to solve them.
