Mr. Montaño specializes in mergers and acquisitions, private equity, venture capital, and capital markets transactions. Mr. Montaño has actively represented domestic and international companies in cross-border transactions, including advising on the structuring and execution of joint ventures and private equity and venture capital transactions. Representative clients and recent matters include serving as legal counsel to VISA International, Citi, TekniPlex, Vinci Partners Investments, Fibra Prologis, Hapag-Lloyd, and North Road Company in their acquisitions, sales, or divestitures of Mexican companies; and to several private equity and pension funds such as Apollo, One Rock Capital, Altmont Capital Partners, Patria, Southern Cross Group, General Atlantic, OTPP, and CPPIB in their investments in Mexico across various sectors, including infrastructure, retail, financial services, pharmaceuticals, and telecommunications. In the venture capital field, Mr. Montaño actively participates in the Creel Emprende program, advising various startups, such as Ben&Frank and NotCo, and venture capital funds such as Lightspeed, Monashees, and Gradient Ventures, among others. Mr. Montaño also has experience representing Mexican and foreign placement intermediaries and Mexican issuers in capital market transactions, including the Initial Public Offerings of Hoteles City Express and Corporación Vesta. Recently, he advised Fibra Prologis on a public tender offer and reciprocal subscription for up to 100% of Terrafina's CBFIs; TekniPlex on the acquisition of 100% of the share capital of Seisa, as well as Ematec; Platinum Equity on the acquisition of Founder Sport Group and Augusta Sportswear Brands; Behrman Capital on the sale of kSARIA Holding Corporation; and VISA on the acquisition of a majority stake in Prosa. Mr. Montaño has authored and co-authored various articles on topics related to mergers and acquisitions and private equity for prestigious publications such as Chambers Legal Practice Guides, The Mergers & Acquisitions Review, International Financial Law Review , and The Private Equity Review . Mr. Montaño has been recognized in the areas of mergers and acquisitions and capital markets by several publications, including Chambers Latin America: Latin America's Leading Lawyers for Business, The Legal 500, and Latin Lawyer 250: Latin America's Leading Business Law Firms. Mr. Montaño worked as an international associate in the New York and London offices of Cravath, Swaine & Moore LLP from 2007 to 2009. Mr. Montaño was born in Mexico City, Mexico. He earned his law degree from the Autonomous Technological Institute of Mexico, a Master of Laws (LLM) from New York University, and a professional certificate in law and business from New York University Stern Business School. His native Spanish is his native language, and he is fluent in English.
