Iker Arriola Penalosa Bio

Iker represents and advises clients on a variety of matters and transactions. His areas of expertise include mergers and acquisitions, corporate law, and antitrust. Since September 2022, Iker has been the resident partner of the Firm's European office in Madrid. With 25 years of experience advising some of the largest and most recognized international companies, as well as important Mexican corporations, Iker consistently assumes a leadership position in his clients' businesses and strategic projects. Iker represents clients in a wide range of legal matters, predominantly in mergers and acquisitions (both public and private). Iker also has a significant track record representing clients in financial and capital markets transactions, including debt offerings and initial public offerings. Among other representative matters, Iker participated in Kansas City Southern’s acquisition of Transportación Ferroviaria Mexicana in 2005, represented Financiera Indepedencia, SOFOM in its initial public offering on the Mexican Stock Exchange, represented Pfizer Inc. in the sale of its nutrition business to Nestlé SA (“Merger Control Matter of the Year” by Global Competition Review in 2013), represented the shareholders of Consorcio Comex in the sale of that company to PPG Industries, Inc. (the largest privately held M&A transaction in Mexico in 2014), represented the shareholders of Universidad del Valle de México in its sale to Laureate Education Inc., represented the shareholders of Grupo Turín in the sale of that company to Mars Inc., and most recently, represented Live Nation Entertainment Inc. in its acquisition of a majority stake in OCESA through the purchase of Grupo Televisa’s stake and a portion of CIE’s stake, and represented Grupo Financiero Banorte in the negotiation, structuring, and execution of its strategic alliance with Rappi, through which both companies will become 50% owners of the newly created NewCo. Iker also has extensive experience in competition matters, including antitrust investigations and merger proceedings. Iker has represented clients in antitrust cases in a wide variety of merger and acquisition investigations and across a wide range of industries and sectors, including pharmaceuticals, construction, consumer products, food and beverages, transportation, energy, financial services, and telecommunications. Among other key M&A matters, he recently represented two foreign investors in the acquisition of a Mexican transportation company and another in the education sector. Iker also acted as lead counsel for the equity segment in the restructuring of Altán Redes as part of a pre-pack process to enable the company to emerge from bankruptcy (an insolvency proceeding in Mexico similar to a Chapter 11 in the U.S.). This transaction earned the " International Company Turnaround/Transaction of the Year 2023" award from the TMA Turnaround and Transaction Award Committee. Iker has been recognized as a Leading Lawyer in Mexico for several years, and on various topics, in the most prestigious international magazines. In 2012, he was named by Expansión magazine as one of the " 30 Promises in Their 30s ." In 2024, Iker was also recognized as one of the most outstanding lawyers in Latin America in the first edition of the " M&A Powerlist Latin America" ​​published by The Legal 500. In 2023 and 2024, he was also recognized as a " Stand-out Lawyer" by the prestigious publication Thomson Reuters. Iker earned his law degree from the Universidad Iberoamericana in Mexico City and his master's degree in law from the Complutense University of Madrid in Madrid, Spain. His native Spanish is his language, and he is fluent in English.
