Wynne Lau is Partner in the Hong Kong Corporate practice. Wynne joined Conyers in 2006. Wynne has over 18 years of offshore legal practice covers all aspects of corporate and commercial law with particular focus on corporate finance, merger and acquisitions, complex corporate restructurings, re-domicile exercise, banking and syndicated loan transactions. She has extensive experience in private equity, pre-IPO financings, initial public offerings, dual & secondary listings on stock exchanges globally, including Hong Kong, Shanghai, Taiwan and the United States, as well as debt market, including debt financings, mortgage back securities transaction, MTN programs. Wynne advises both buyers and sellers, as well as issuers (international and mainland China, private and state own enterprises), investment banks, private equity houses on shareholders disputes, cross-border and multi-jurisdictional transactions. She also advises local regulators and corporate enterprises on regulatory compliances issues. Wynne is one of the very few offshore lawyers in the market with on-the-ground experience in China, hence has a deep understanding of the business culture of our PRC clients. This is also one of the reasons why she has great relationship with all red-circle law firms in China and some of our long-standing clients such as State Grid Corporation of China, where Wynne advised its first international debt issue, and in subsequent years, advised again on its global offering of four-tranches dual currency Notes listed on Hong Kong Stock Exchange and Irish Stock Exchange simultaneously. She is also a key partner in the China Resources Microelectronics IPO matter, which is the first red-chip listing on the SSE Star Market, co-leading the team with Lilian Woo. Additionally, Wynne advised the successful listing of InnoCare Pharma Limited on SSE STAR Market as well as OrbusNeich Medical Group Holdings Limited and Buyang International Holding Inc etc. on Hong Kong Stock Exchange in recent years.
