Luan Jianhai started to practice law in 2002. He is mainly engaged in the legal services in respect of corporate, securities, private equity financing, real estate, and foreign investment etc., and focuses on the industries and areas such as real estate, medicine, pension and health, education, telecommunications, media and high technology. Mr. LUAN has provided a full range of legal services for the capital operation of many domestic and foreign enterprises, including enterprise establishment, venture capital and private equity financing, corporate reorganization and restructuring, cross-border investment and financing, domestic and overseas listing, bond issuance, asset securitization, investment M&A, and the establishment and removal of the red-chip structure (including VIE structure) and so on. The listing venues for the listing projects handled by Mr. LUAN include the domestic stock exchanges, Hong Kong Stock Exchange, New York Stock Exchange, Singapore Exchange, and London Stock Exchange. In the foregoing transactions, Mr. LUAN has provided a wide range of legal services for clients, including transaction structure design, legal due diligence, issuance legal opinions on Chinese laws, and preparation and negotiation of transaction documents etc.
