Steve Brook is co-chair of the firm’s Venture Capital & Emerging Companies Group and a partner in the firm’s Corporate, Securities, and Life Sciences Groups. He represents public, private and start-up companies in various industries including technology (hardware and software), biotechnology/pharmaceuticals, construction, consumer, energy, healthcare, manufacturing, media, sports, entertainment, fashion and online services. He serves as general counsel to his corporate clients advising on corporate governance, securities law compliance, joint ventures, strategic alliances, licensing and general matters. Clients include unicorns on the 50 CNBC Disrupter List and TB12, Tom Brady’s brand and investment company. Steve also represents private equity and venture capital firms, investment banks and family offices. He has vast experience with corporate and transactional matters, including mergers, acquisitions and sales, venture financings, PIPEs and public and private offerings of equity and debt securities. Steve is recognized as a leading lawyer in counseling executives, management teams and employees with their agreements, compensation and other arrangements into and out of companies. He also represents many companies with their employment-related needs. Steve is frequently brought in on M&A transactions to assist management. Representations include notable high level executives at Fortune 100, 500 and multinational companies including former and current CEO’s at Aol, Yahoo, Donna Karan, Carolina Herrara, Forbes, iRobot and Presidents and C and E Suite management at AirBnB, Coinbase, Amazon, LinkedIn, iHeartMedia Inc., Verizon, Wheels Up and many others. Steve serves as general counsel and a member of the Board of the Directors of the Francis Ouimet Scholarship Fund and counsel to the New England PGA.
