Kim Lawton practice is focused on capital markets and securities matters including corporate finance, corporate governance, continuous disclosure, equity compensation, initial and ongoing stock exchange requirements, and market regulation. She advises public and private companies in a wide range of industries with particular emphasis on the cannabis, psychedelics, and technology sectors. In her cannabis practice, Kim works with entrepreneurs, investors, and operators across the industry spectrum, including biotechnology/pharmaceuticals, consumer packaged goods, cultivation, retail, licensed producers, and other ancillary segments. Kim has extensive experience advising entrepreneurs and high-growth companies on a wide range of critical issues on the path towards a public listing including selecting prudent incorporation and organization options, negotiating a shareholders’ agreement, protecting intellectual property and confidential information, developing of contracts with key parties, and completing rounds of financing. Kim is a member of the Women's Executive Network and Women in Capital Markets and a former executive committee member of the OBA's Animal Law and IT and IP Law sections. She is also a coach of the Osgoode Mooting Society (Corporate Securities Moot), and a past volunteer at Parkdale Community Legal Services and Artists Legal Advice Services. Prior to her legal career, Kim was an economist for the Ontario Ministry of Finance where she provided analytical insight and policy advice on key microeconomic issues relevant to the Canadian markets.
