A partner in the firm’s Corporate Department, John Martin advises clients on strategic corporate and securities matters. He counsels businesses on mergers and acquisitions, entity formation and restructuring, financing transactions, regulatory compliance, and corporate governance. With over two decades of experience as a corporate and mergers and acquisitions attorney, John’s practice focuses on delivering sophisticated advice to clients across a broad spectrum of transactional matters and industries. John specializes in advising public and private companies, private equity firms, and high net-worth individuals on complex M&A transactions, including mergers, stock purchases and sales, asset purchases and sales, divestitures, reorganization transactions, and joint ventures and other non-control investments. His experience encompasses all stages of the deal, from structuring and negotiation to due diligence, as well as closing and post-closing integration. John’s practice extends beyond M&A transactions to general corporate and regulatory services. He advises clients on corporate governance and compliance matters and drafts and negotiates a wide range of commercial agreements, including nondisclosure, employment, severance, licensing, deferred compensation, distribution, lease, master services and statement of work, technical and transition services, escrow, stockholder, loan and financing, limited liability company operating and limited partnership agreements. John represents clients in a wide range of industries, including manufacturers, suppliers, industrial companies, banks and other financial service institutions, and software and technology firms. Throughout his career John has consistently represented clients in the financial services industry in M&A transactions, including banks and bank holding companies, investment advisers and broker-dealers.
